First of all... you can't remove the watermark, because it is now part of the video stream (probebly added by the person who encoded it in the firt place).
Second... With wich program did you encode the divx(?) file?
I assume you are trying to convert to a VCD. The best prog to do this is: TMPGEnc, you can get it via the software section on this site. NEVER... and I say... NEVER... use Nero to convert to (S)VCD... the result is crappy and as you say, the picture turns out upside down. I had the same prob when I just started with the VCD conversions.:)
Hope to have helped you in any way, and if some things aren't clear, feel free to post here...

Thanks to bad about the watermark.
I do use tmpge already and have to create a wav file for the audio most times for Xvid for it work.
About half of the Xvids I do just go blank at some point in the encode do you know why??
I don't have this problem with any other format but Xvid. Divx and others are fine. really odd.
Also is there a program that allows me to split avi files into 2 pieces. I need to split some larger avi files so I can encode them at a sufficient bit rate. Seems like when I move the source range around in tmpge to split it the second half audio doesn't match? but files that are already in 2 pieces are fine.
Thank you for your help

Well.. about your prob with splitting .avi's.... U can just use VirtualDub for that.
In the timeline below just select a part of the movie you want cut... and save as .avi, do that with the other past(s) of the file and you have yourself a splitted .avi. (just make sure you selected direct stream copy for both audio and video... or else it would take hours to split the file, because then it would re-encode the separate parts

I've been using VideoCharge off and on for about 3 years... And although it's not blameless, I guess you'll like it too:) With VideoCharge Full (or Express) you can split you AVI file in 2-3 minutes (approximately, for a 1-hour movie) without quality loss! If you don't wanna waste money - not a problem, make use of a trial version. You can find it somewhere at http://www.videocharge.com/.
BTW, as I already wrote on this forum, they have some else program that can remove watermarks from videos (as they assert). I'm not sure of the quality of the produced files, by you can give it a try...
