Help with audio in AVI (crashes GSpot/WMP)

Hey, I tried most of the suggestions I've seen in the FAQs and Newbie sections but I still can't get a specific file to play properly. There is video, but no audio.

The interesting thing is that it plays with no problem on any XP system. I run ME and nothing I do works. I've uninstalled and reinstalled everything. I've got the up to date DIVX and XVID. I've run GSpot and aFreeCodecVT. It said I had the correct codecs. Here's the file in a nutshell:

    -------afreeCodecVT Video Report-------:

    Streams (Header) : 2
    Streams Found : 2
    Length (s) : 2,557
    Total Frames : 61,315
    Resolution (Header) : 640 x 368
Flags : Has Index, Is Interleaved

    Video Size (kB) : 319,043.58
    Audio Size (kB) : 39,953.13

    ------- Video Stream -------

    Codec : XviD MPEG-4
    Flags : None Set
    Quality : 0
    bps : 1,022,137

    FOURCC : XVID
    Resolution : 640 x 368
    FPS : 23.976
    BPP : 24

    ------- Audio Stream -------

    Codec : MPEG-1 Layer 3 (MP3)
    Flags : None Set
    Quality : 0
    bps : 128,000

    Codec Code : 85
    Channels : 2
    SamplePerSec : 48,000

    -------:

It was converted with "transcode 0.6.14".

I also have the Philips DIVX DVD player and the file doesn't work on that either.

I installed the latest FFDSHOW and that managed to crash everything. Loading the file in Windows Media Player gives me a message "Class not recognized" and doesn't play the file at all anymore giving me this:

"You've encountered error message 80040154 while using Windows Media Player. We are investigating the cause of this error. We will post more information about this error when it becomes available."

Trying to run it through GSpot again crashes that and gives me an error in "unknown audio codec #27" and an illegal operation.

I'm having no luck with it at all. Is it all dependent on my OS? Are codecs conflicting with each other? If anyone knows anything about how to get it to play. I need be able to play it to convert it to play on DVD. Thanks very much for any help anyone can offer.
