Windows XP Pro Version 2002/SP2

The website specs differ slightly; My cpu is 1.60 GHZ/896 MB Ram.
I am getting a "Referenced memory - The memory could be read error". Found many answers on the net', also on Microsoft.com, in which they say to update with the latest windows updates. Did that, no change, still getting the error.
It happens at different times; when I close I.E., another is a "MOM.EXE" read error, which has to do with the ATI Catalyst driver suite? Tech support is no help, anyone on here have any suggestions?
Would like to get this annoying thing solved!
