Can you suggest good mpeg editing tool under $200?

Looking for a good mpeg editor that will allow me to do things like:

• Dub audio (such as narration) over existing audio
• fade in/out and other transition effects
• add music
• add titles and other text that floats over the image
• cut and splice segments in the same mpeg file or multiple mpeg files
• convert still images to a slideshow with music

Any ideas?
