hi,
while trying to open vcd (.dat) file in vdub , i get an error "mpeg pack : initialization error" plz help meout on this one!!

Virtualdub doesn't like VCD .dat files.
Your best bet is to turn it back into a more friendly MPEG using something like VCDgear, then you can do what you want with it in VDub.

I have to say I don't know of anything that will convert it straight into DivX except maybe Ulead Videostudio which you may have got with your videocard...
