Any mp3 codec should be fine, though Fraunhaffer or Radium are popular, be sure to select the right bitrate.

What do you want to do? You have downloaded a southpark episode, what is its format, do you want to convert it to divx?

When you converted the rm file to avi, was the video and audio in sync?

Anyways, in Virtualdub (read guides at divx-digest.com for more info) reduce the "framerate" under "video" to "10 fps" and in the audio reduce the "bitrate" of the "mp3" sound.

                  ok i chose this

                  frame rate 10 pts
                  compression divx codac
                  audio
                  MPEG-3 8kBit/s, 8000 Hz, mono 1kb/s
and the size is 60mb again
                  it wont come down

                  if for example i choose

                  MPEG-3 128kBit/s, 48,000 Hz, strero 16kb/s

                  i get an error saying

                  Error initializing audio stream compression:
The requested conversion is not possibale.
