Get the latest drivers for you motherboard and graphics card. And make sure the system is properly cooled.
Donate your idle CPU time for something usefull.

still freezes whatever processing program or codec i use...

cpu temperature seems to be stable durin compression: 66-67 C

no success with newer motherboard/video drivers...

can the problem hide in the specificity of my motherboard:
ms-6367 based on Nvidia nForce IGP chipset with integrated audio/video.. ???

As an experiment, try using MPEGMediator to perform a conversion...

This is a very likely culprit. Try bringing it down to below 50 degrees Celcius (I don't know if this is achievable with a Duron CPU though).

50c is reachable, both my xp1800 (1.53ghz) and my t-bird 1.33ghz run at 40c. You may look into a higher CFM fan for your Proc, try www.plycon.com -good company for hsf/fans etc.

A few things I can add as suggestions:
                1. Improve internal case airflow by adding more chassis fans
                2. Improve internal case airflow by using rounded IDE cables
                3. Replace your current HSF as unreal33 suggested
                4. Open your case up

Durons are very prone to overheating just like my Thunderbird is. I was having the exact same problem as you. I opened up my case and the problem went a way. NOw I have a new heatsink (about $10US) and I have the case closed and my computer runs cooler than when the case was open.

                    ZALMAN cooling

Just buy a Zalman cooling system.

I have a Athlon XP 2000+ and with a Zalman 5000 fan It's always below 39°C ( a bit noisy. A Zalman 6000 better? You have to check it out by yourself )

hope it will help you .... anyway I don't think it's a cooling problem for divx convertion if CPU stressed remains at 60-65°C.

In my opinion Xmpeg or Virtualdub don't warm up your computer more than any other program

Divx5.02 &5.03 wastes the memory. This freezing is often caused by one too little memory or if you are concurrently running any other task.

I have 512 MB of RAM and my PC never freezes if I don't run any other task

                      Good Luck

It is the Decompressor and the encoder that takes it up. Go run Besweet and watch your temperature. It goes up just the same. I got a stock cooling fan and when I use besweet or VirtualDub I hit about 132 F

And at night I go down to about 80F
