Search the forum, this is what I found:

For AC3 audio (originally posted by Setarip):
In TMPGEnc, under the "Environmental Settings" "VFAPI plugin" tab rightclick on the "Direct Show Multimedia Reader" and increase to the highest priority. This will enable TMPGEnc to accept a properly encoded .AVI with .AC3 audio for input...

For VBR mp3 (originally posted by gs0666):
    Open file in VDub
Set Video tab to Direct Stream Copy
Set Audio tab to No Audio
Save avi under a new name [F7]
    Again open file in VDub
Set Audio tab to Full Processing Mode
    Set Audio Conversion to 44,100Hz
Set Audio Compression to Uncompressed PCM
    Save WAV...

Load silent AVI and WAV in TMPGEnc.

Loading the file in Virtualdub(mod) and/or obtaining the "File information" should disclose if the xvid files contains AC3 audio (unknown tag 2000 message in audio section of "File information") or VBR mp3 (Virtualdub will indicate this with an "error message")

If the XVID file contains an AC3 audio stream, there is no need to extract it in Virtualdub.

Just load the XVID file in TMPGEnc, adjusting some parameters in TMPGEnc (as I mentioned in my previous post) to ensure that it accepts the audio.
