Under the Newbie links here (Rip and Burn tutorials), it describes three VCD formats, each with its own TMPGEnc template:
29.97 fps: NTSC
25 fps: PAL
23.976: FILM (NTSC)
I'm not sure how much difference it makes, but the guidance stated to match the fps to the correct template, which would be FILM for 23.976 fps. -
"do I need to change audio"
If it's Constant Bit Rate (CBR) MPEG Layer 3 (MP3), TMPGEnc can handle the audio very nicely. If it proves to be Variable Bit Rate (VBR) MP3, TMPGEnc will reject it.

It's apparent that you've downloaded (as opposed to having created it yourself) this file. Load this file into VirtualDub v.1_4_8. Under the "File" dropdown menu, select "File Information". You should see, among other things, details of which video codec was used.
It should also let you know if it detects a VBR audio file - and offer to convert it for you.Comment
