Under the Newbie links here (Rip and Burn tutorials), it describes three VCD formats, each with its own TMPGEnc template:

    29.97 fps: NTSC
    25 fps: PAL
    23.976: FILM (NTSC)

I'm not sure how much difference it makes, but the guidance stated to match the fps to the correct template, which would be FILM for 23.976 fps.

"do I need to change audio"

If it's Constant Bit Rate (CBR) MPEG Layer 3 (MP3), TMPGEnc can handle the audio very nicely. If it proves to be Variable Bit Rate (VBR) MP3, TMPGEnc will reject it.

      "23.976 Frames/Sec, 119 KB/Sec, Unknown Format"

It's apparent that you've downloaded (as opposed to having created it yourself) this file. Load this file into VirtualDub v.1_4_8. Under the "File" dropdown menu, select "File Information". You should see, among other things, details of which video codec was used.

It should also let you know if it detects a VBR audio file - and offer to convert it for you.
