Extract audio in tmpgenc, or Virtualdub.
    Resave as mp3 in Audacity.

open the vido file in virtualdub, for video select "direct stream copy", for audio select "audio file" or something similar. then it will let you select your mp3 file, and then save as avi

          good luck

sorry bendam i wasn't at my home computer when i wrote those instructions, so i didn't have vdub installed. but i'm home now so here you are:

              1. open your original file in vdub

              2. under "video" select "direct stream copy"

              3. under "audio" make sure "full processing mode" and "source audio" is selected. then click "compression"

              4. on the left it will show you all the audio codecs you have installed. click "mpeg-layer 3" or "mp3"

              5. on the right it should show the possible bitrates you can encode at. i recommend 128kbit/s, so click it, then click OK

              6. under "file" click "save as avi", and save with a new name

there you go, you should have a new divx file with mp3 audio
