For the wisecracks: yeah TmpgEnc is normally used for Divx > Mpg But it can do both ways...
Just do the following in TmpgEnc:
At Videosource find your video, for the rest leave everything...just go to file > batchencode > avi-file. Than you will get a screen like this: http://bartes.netherlands.com/TmpgEnc.jpg
There you can choose a video-compression and an audio-compression. You can see what settings I used (of course you need to have the codecs

the problem i have with this is that "batch encode" will only allow me to enter in a preset project file.and where else in tmpg can you choose a divx codec?....anyone know what the heck is up with this??
