DV to Divx conversion : WHO KNOW ?

hello, I would like to make a nice AVI file of my last miniDV shooting, so I need advice about DV to Divx conversion.

I already put all this together :
Ulead Media Studio and the last 5.02 DivxPro, when I create my movie, I can't render in 2 pass-mode with this software, or I don't know how to, so I can't achieve the quality I want ? (60 mn of video on a CDROM ~~ 180KB/s with at least a better quality than my old VHS).

What output resolution should I use ?
Is there any way to use 2 pass-mode with Ulead ?

Is there any software that can get a DV type 1 .AVI file and convert it, with only one launch, to a Divx ?

I also know VirtualDub but when I want to open a DV type 2 (type 1 is not support by Vdub), there is no codec to decompress this flux, could someone help ?

If you have any information in this way, I will realy apprecheat it.
