You are most probably missing the required codec to playback the file.

To determine what codec the movie has been encoded in, open the file in Virtualdub and go to File -> File Information. Post what you see here.

You can use gspot, which will show You codecs on your system and what codec you need for this movie. Download here: http://www.divx-digest.tv/software/codec/gspot20.zip

After this, You need to download the right codec, that's all

Install the DivX 3.11a codec into your system and all will be well.

To help you get started, search here.

By The Way, do you have to use DirectX 8 or DirectX 81b?

                    Either one should be fine.

Could you try checking your DirectShow filtering settings.

In WMP6.4 select File->properties->Advanced->'Divx Decoder filter'->properties->'Quality settings' Make sure that 'Smooth playback', Yuv and overlay extended mode and 'Double buffering' are all disabled. And make sure that the brightness, Contrast and Saturation sliders are all in neutral (click default).

You already have that, it's part of DirectX. Almost all players use DirectShow For playback.

Windows Media Player 6.4. Unlike later versions of WMP, version 6.4 allows you to access DirectShow filter properties as descriped above.

You should be able to run WMP6.4 by selecting 'Start menu'->Run, type "mplayer2.exe" and click OK.
