Problems with Xmpeg 4.2a and divx 4.12

I've had no problems with Xmpeg 4.2a or any other xmepg/flask using Divx 4.x But when I installed Divx 4.12 The file size encoding it seems to be way out to lunch. The bitrate doesnt make sense sense either. I set it really high and really low it's almost like it's not getting set. Is there a bug that I havent heard of.
I've even been through a reformat of hd and clean version of windows and that didnt help that.

My system
Athlon XP 1600
256mb DDR Ram
Ati All In Wonder 128
Xmpeg 4.2a
Divx 4.12

I'm just trying to start conversion. I've tried differnt versions of flask and I get the same results. I've done tons of divx movies the exact same way and after that reinstallation of windows this.

Using Divx 4.11 i've used 4.12 and get the same results.
It works fine compressing files to divx in Virtual Dub so. It leads me to believe it a flask xmpeg thing
