The DivX's audiostream is most probably in Variable Bit Rate .MP3, which TMPGEnc cannot process. You'll have to convert the audiostream of the DivX file to either Constant Bit Rate .MP3 or Uncompressed PCM (.WAV) format...

Start Virtualdub. Open your video, If a window popups and says that Virtualdub has detected an improper VBR stream just click OK.
Select under Audio->Full processing mode. Select Audio->Conversion.
Change the the Sampling rate to 44100Hz since you are going to make a VCD. Save the wav by clicking on File->Save WAV. The wav will be a huge audio uncompressed video file if you haven't selected any compression like mp3. Now can you launch TMPGenc and select the wav as your audio source.
