Tool fo MPEG to DivX AV batch conversio with multipass support?

Does anybody know for some Windows program for MPEG2 to DivX (AVI) conversion with following characteristics:
- batch conversion of MPEG2 files to AVI, both audio and video,
- support for multiple-pass encoding

since you can handle mpeg2 files like vobs files, you should be able to accomplish your conversion with the usual and reliable tools

DVX is one of those tools, gordianknot and others wont be much different
