distorted mp3 audio conversion

Hello,
I compressed my first non-compressed AVI with VirtualDub.
The compressed video looks good, however, the audio sounds distorted.

My uncompressed source file has these properties:

channels: 2 (stereo)
samp precsion: 16 bit
samp rate: 44100Hz
frame rate: 30.057fps

What settings for VD should I use to get decent mp3 compression for audio.

Also, what is the difference between mpeg-1 and DIVX compressed AVI? What is the best technique?

DivX (MPEG4) typically results in files compressed to about one-half the size of those compressed by MPEG1.

DivX is a better kind of compression for playback on the pc. But MPEG can also be played on dvd players and vcd players.
