Subtitles Disappear after conversion

I have an avi I downloaded. It has subtitles. I used TMPGEnc to convert. First problem I had was no sound. So I loaded into Virtual Dub and saved the sound as WAV then used that in TMPGEnc for the audio source. That seemed to work but now the subtitles have disappeared.

Now, once when I used Nero to try burning this the subtitles were there after conversion but they were so low that only the tops of them could be seen on my TV.

Any help would be appreciated.
