First of all, I downloaded an .avi file of about 730 mbs. I've split the .avi file into 2 parts at a keyframe. I then opened part 1 in TMPGEnc and loaded the video. I then set the configurations to the specs that G-Spot & VirtualDubMod gave me. I then set the output stream type to System(Video and Audio) and hit the Encode Button to convert. After about 2 hours it was done encoding, only with no audio in the mpeg file!
My settings were: 23.97 fps (NTSC Film), CBR-1150, NTSC 4:3, 352 X 240 resolution, Audio was 48000 at 224.
I'm not sure how to separate the audio from the video, if that's what needs to be done, but I thought that TMPGEnc would convert the 48000 to 44100 during the encoding.
