TMPGEnc runs out of memory

When encoding avi to mpeg using TMPGEnc the operation stops after sometime with the message "out of memory"
I've increased virtual memory up to 3GB and is also impossible to convert a file longer than 20 min.
I'm using Windows XP and pinnacle dv25 codec
Anyways, the only reason i want to be using this programme, is that it gives me the best results (meaning that the "avi2vcd" is not that good and very slow)- and those 2 prgrms are the only ones i can use
I really do not know if some more information could help, so if sb can say smth or ask me, please ....

Is this occurence characteristic with all divx to mpeg conversions using TMPGEnc? Just incase, TMPGEnc is incompatible with divx 5.xx codecs.

the only conversions i've tried are avi (made by a canon dv) files by PREMIERE 6.0 to mpeg 1
By the way can you tell me why pinnacle dv25 codec crashes premiere?
About the incompatibility you mention, i do not run such a codec (or at least i think so)
