convert codec 3 to 4 or 5?

I'am not exactly sure what might cause this, try getting divx5.02 directly from www.divx.com (there have been some ugly hacks, of the pro version which would cause something like this). Other than that I can only suggest raising the bitrate, and perhaps set video to full processing mode, instead of fast recompression.

Not that I would recommend (but I don't have much experience with other avi editing tools)
