TMPGEnc doesn't recognize the audio codec

Lately I finished to download a movie which is used with the Xvid codec, I add it subtitles with no problems but when I tried to convert the movie to mpg with 'TMPGEnc' it didn't recognize the audio codec.
I tried to use nero to burn the Avi file and let the Nero do the job, but in the middle of the movie the sound did not match the picture.
How can I solve this problem?

thanks to anyone who will help me,
    Aviv Yehuda.
