Load the .AVI file into VDUB1.4C-AC3, setting "Video" to "Direct Stream Copying" and selecting (under "File") "Save .WAV/.AC3" - and saving as .AC3.
Load the saved .AC3 file (which, if you play it, will not play properly - but don't worry) into AC3PX3Converter to save as a two channel .WAV file (When you select WAV output, make certain to select 48,000).
and it works perfect.
i have 1 more problem:
i want to convert it to 44100 not 48000.
can i do it?
is there any option to convert it to 44100 in px3ac3?

You can select the conversion to 44,100 (under the "Audio" tab) when you load it into TMPGEnc (I believe that selecting "CD quality" under the PX3 conversion program will result in 44,100 sound - but, if you feel compelled to, check it out)...
