i'm currently running a pII 300 mhz, 256 mb ram, windows 2000, bsplayer, with system resources cleared for video ....and im having some audio sync problems with xvid video....divx video has no problems at all, and older xvid rips also run smooth. is this system too old? is there anything that can be done to correct this?

"is this system too old?"
I personally think so.
"is there anything that can be done to correct this?"
Lowering system resource overhead might help a bit. That includes: lowering desktop resolution & colour depth and using low-resource decoder such as FFDShow. Other than that, you can also try overclocking the CPU, though I wouldn't expect much improvement.
