Create MPEG fields from AVI source

I am using a Pentax Optio 6 Digital still camera to capture .AVI movie images and want to burn resultant movies with mp3 sound to MPEG format to enable editing in ADOBE Premiere Elements v1.0.

Can anyone suggest best method/software etc to make this happen (simply)

I have AVI - MPEG decrypter but it seems overly complicated - there must be a simpler way?

          AVI Summary

Having looked at the file summary, it says the fps is 30 but there is no Audio format stated. The audio bit rate is 64 kbps.

Will this cause me a problem in recording the audio from my clip?

i don't think it should be a problem, make sure you use the 29.97 fps settings as mentioned in the guide---otherwise playback will not be smooth.
